Terms & Conditions
Engagements are governed by a signed proposal or statement of work. Deliverables, timelines, and reporting obligations are defined per project. Intellectual property created under contract transfers to the client upon full payment.
Agreement & Scope
These terms apply to all services provided by ZAIMPRO ADS LTD. By signing a proposal or statement of work, the client confirms acceptance of these terms. Project scope, fees, and timelines are defined in the signed proposal.
Deliverables & Timelines
Deliverables are specified in the project proposal. Timelines are estimates based on agreed scope and are conditional on the client providing required materials, approvals, and access credentials within agreed windows.
Reporting Obligations
ZAIMPRO ADS LTD provides performance reports at intervals defined in the proposal — typically monthly. Reports include verified metrics against agreed KPIs. Reporting formats and access to dashboards are specified at onboarding.
Intellectual Property
All creative assets, campaign structures, and strategic documents produced under a contract become the property of the client upon receipt of full payment. Pre-existing ZAIMPRO methodologies and frameworks remain the agency's property.
Payment Terms
Invoices are payable within 14 days of issue unless otherwise stated in the proposal. Late payment may result in suspension of active campaigns. ZAIMPRO ADS LTD reserves the right to charge statutory interest on overdue amounts.
Confidentiality
Both parties agree to keep confidential any proprietary information exchanged during the engagement. This obligation survives termination of the agreement for a period of two years.
Limitation of Liability
ZAIMPRO ADS LTD's liability is limited to the fees paid for the relevant service in the three months prior to any claim. We are not liable for indirect losses, lost revenue, or third-party platform changes beyond our control.
Termination
Either party may terminate an engagement with 30 days' written notice. Fees for work completed up to the termination date remain payable. Termination does not affect accrued rights or outstanding obligations.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
